1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and AdsYield Ltd (“AdsYield”, “we”, “us”, or “our”), a limited company registered in The United Kingdom under company number 14944635, with its registered office at [71-75 shelton street Covent garden, London, WC2H 9JQ].

By accessing or using our website at https://adsyield.com (the “Website”), our advertising platform, our application programming interfaces, our mobile mediation SDKs, or any other services we provide (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the Services.

If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that the entity accepts these Terms.

2. Description of Services

AdsYield provides programmatic advertising services to publishers, advertisers, ad networks, and other entities in the digital advertising ecosystem. Our Services include, without limitation:

Ad serving, ad mediation, and yield optimization for publishers across web, mobile, and connected TV environments.
Demand-side bidding services that allow advertisers and agencies to participate in real-time programmatic auctions.
Mobile mediation SDKs that integrate with publisher applications via Google AdMob and Google Ad Manager mediation.
Reporting, analytics, and campaign performance measurement.
Integration with third-party programmatic infrastructure, including the Google Authorized Buyers program and the IAB Europe Transparency and Consent Framework.

AdsYield reserves the right to modify, suspend, or discontinue any portion of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Eligibility

The Services are intended for use by businesses and professionals in the digital advertising industry. By accessing or using the Services, you represent and warrant that:

You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater.
You have the legal capacity to enter into a binding agreement under applicable law.
You are not located in, or a national or resident of, any country or jurisdiction subject to comprehensive sanctions or embargoes administered by the United Nations, the European Union, the United Kingdom, or the United States.
You are not on any list of prohibited or restricted parties maintained by any government authority with jurisdiction over you or AdsYield.
Your use of the Services complies with all applicable laws and regulations in your jurisdiction.

4. Account Registration

Certain features of the Services may require you to register for an account. When registering, you agree to:

Provide true, accurate, current, and complete information.
Maintain and promptly update your account information.
Maintain the security and confidentiality of your account credentials.
Be solely responsible for all activities that occur under your account.
Notify AdsYield immediately of any unauthorized access to or use of your account.

AdsYield reserves the right to suspend, terminate, or refuse access to any account that violates these Terms or that we believe in good faith poses a risk to the Services, our Clients, or the integrity of our advertising ecosystem.

5. Acceptable Use

You agree not to use the Services in any manner that:

Violates any applicable law, regulation, or industry standard, including but not limited to laws relating to data protection, privacy, intellectual property, advertising standards, and consumer protection.
Infringes the intellectual property rights, privacy rights, or other rights of AdsYield or any third party.
Generates fraudulent, invalid, or artificial traffic, impressions, clicks, conversions, or other ad interactions.
Attempts to interfere with, compromise, or disrupt the integrity, security, or performance of the Services or any underlying infrastructure.
Uses any automated means (such as bots, scrapers, or scripts) to access the Services in a manner that could overload our infrastructure or extract data beyond what is permitted by these Terms.
Reverse engineers, decompiles, or attempts to derive the source code of any AdsYield software, including our SDKs and platform infrastructure, except to the extent expressly permitted by applicable law.
Resells, redistributes, or sub-licenses access to the Services to any third party without our prior written consent.
Uses the Services to deliver advertising content that is illegal, fraudulent, deceptive, defamatory, obscene, harassing, or otherwise harmful.

6. Prohibited Advertising Content

AdsYield maintains content standards consistent with industry best practices and applicable law. The following categories of advertising content are strictly prohibited on the AdsYield platform:

Content promoting violence, terrorism, or other unlawful acts.
Adult sexual content, products, and services of a sexual nature.
Content encouraging discrimination, hate speech, or offensive content based on race, ethnicity, national origin, religion, gender, sexual orientation, age, disability, or other protected characteristics.
Weapons, ammunition, and related products.
Illegal drugs and drug paraphernalia.
Tobacco products, electronic cigarettes, and related supplies.
Materials promoting hacking, fraud, malware, spyware, or unauthorized access to computer systems.
Content infringing copyright, trademarks, or other intellectual property, including unauthorized peer-to-peer file sharing and distribution of pirated content.
Counterfeit, fake, or potentially dangerous products or services.
Content promoting illegal goods, services, or activities (including bomb-making, criminal services, and similar).
User-generated content that has not been subject to appropriate moderation.
Clickbait or deceptive content designed to mislead users into clicking, downloading, or taking other actions.
Content that contains false or misleading statements, including fraudulent earning schemes.
Content depicting animal abuse, illegal hunting, or trade in endangered species.
Advertising of products or services subject to mandatory state registration where such registration is absent.

7. Restricted Advertising Content

The following categories of advertising content are restricted and may be served only in compliance with applicable laws, regulations, and industry guidelines, and only with the prior approval of AdsYield where required:

Alcoholic beverages.
Gambling, betting, lotteries, and games of chance involving real money.
Prescription medications, pharmaceuticals, dietary supplements, and health products.
Financial services, including loans, financial planning, hedge funds, insurance, investment products, mutual funds, options, retirement planning, and credit services.
Political and election-related advertising.
Pregnancy, family planning, and related content.
Promotional offers, sweepstakes, and contests.
Adult-themed dating services.
Fireworks and pyrotechnics.
Content directed at children.
Astrology, fortune-telling, and similar services.

8. Intellectual Property Rights

All content, software, technology, trademarks, logos, and other materials made available through the Services are the property of AdsYield or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, AdsYield grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for the purposes for which they are made available.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of any portion of the Services, except as expressly permitted by these Terms or applicable law. The AdsYield name, logo, and related marks are trademarks of AdsYield Ltd. You may not use these trademarks without our prior written consent.

9. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, available at https://adsyield.com/privacy-policy/. The Privacy Policy describes how we collect, use, share, and protect personal data, and the rights individuals have with respect to their personal data. By using the Services, you acknowledge that you have read and understood the Privacy Policy.

If you are a Client using the Services to process personal data of end users, you represent and warrant that you have provided all required notices and obtained all required consents from such end users in compliance with applicable data protection laws, including the GDPR, UK-GDPR, CCPA, and other applicable regulations.

10. Third-Party Services and Integrations

The Services may integrate with, or otherwise rely on, third-party services, platforms, and infrastructure, including but not limited to Google Ad Manager, Google AdMob, Google Authorized Buyers, the IAB Europe Transparency and Consent Framework, and our hosting and infrastructure providers. Your use of any such third-party services is subject to the terms, conditions, and policies of those third parties. AdsYield is not responsible for the availability, content, or performance of any third-party services.

11. Fees and Payment

Some Services may be subject to fees as set out in a separate written agreement (such as an Insertion Order, Master Services Agreement, or platform terms) between you and AdsYield. Unless otherwise agreed in writing:

Fees are quoted exclusive of value-added tax (VAT), goods and services tax (GST), or other applicable taxes, which will be added to invoices as required by law.
Invoices are payable within thirty (30) days of the invoice date, unless a different payment term is set out in the applicable written agreement.
Late payments may accrue interest at a rate of up to four percent (4%) above the Bank of England base rate, in accordance with applicable law.
All payments must be made in the currency specified on the invoice.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. ADSYIELD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, ADSYIELD MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA, ANALYTICS, REPORTS, OR OTHER OUTPUTS PROVIDED THROUGH THE SERVICES, AND DOES NOT WARRANT ANY SPECIFIC LEVEL OF ADVERTISING PERFORMANCE, REVENUE, OR OUTCOME.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ADSYIELD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT ADSYIELD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ADSYIELD’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT OF FEES PAID OR PAYABLE BY YOU TO ADSYIELD UNDER THE APPLICABLE WRITTEN AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that may not be limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless AdsYield, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your access to or use of the Services.
Your violation of these Terms or any applicable law, regulation, or third-party right.
The advertising content you submit or cause to be served through the Services.
Your processing of personal data in connection with your use of the Services.
Any dispute between you and a third party arising out of or relating to your use of the Services.

15. Termination

AdsYield may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, for any reason, including without limitation:

Your breach of these Terms or any applicable written agreement.
Suspected fraudulent, abusive, or illegal activity.
Non-payment of fees.
Compliance with legal obligations or requests from authorities.
Discontinuation of the Services.

Upon termination, your right to access and use the Services will cease immediately. The provisions of these Terms that by their nature should survive termination (including without limitation Sections 8, 9, 12, 13, 14, 16, 17, and 18) shall survive.

16. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, except that AdsYield reserves the right to bring proceedings against you for breach of these Terms in any other jurisdiction where you reside or do business.

17. Changes to These Terms

AdsYield reserves the right to modify these Terms at any time. We will post the updated Terms on this page with a revised “Last updated” date. If we make material changes, we will provide additional notice as required by applicable law. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.

18. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any applicable written agreement between you and AdsYield, constitute the entire agreement between you and AdsYield regarding the Services and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
Waiver: No waiver of any provision of these Terms shall be effective unless in writing, and no waiver shall constitute a continuing waiver unless expressly stated.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. AdsYield may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets.
Force Majeure: AdsYield shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including without limitation acts of God, war, terrorism, civil unrest, government action, internet or telecommunications outages, and pandemic events.
Notices: Any notices under these Terms shall be sent to AdsYield at the registered address listed at the top of these Terms or by email to legal@adsyield.com. Notices to you may be sent to the email address associated with your account or posted on the Website.
